The YapPay Partner Program allows approved Partners to earn recurring revenue by referring businesses that activate eligible products and services through YapPay.
Eligible services currently include:
Payment Processing
Business Banking
Crypto Payment Processing
Other products, payment solutions, financial technology, or services specifically designated by YapPay as eligible for Partner compensation.
YapPay provides access to payment processing, business banking solutions, crypto payment solutions, payment technology, POS systems, software integrations, embedded payment solutions, and related services through YapPay and its strategic provider ecosystem.
Partner compensation is based on Net Revenue actually received and retained by YapPay from eligible products and services activated by merchants properly attributed to the Partner.
Participation in the YapPay Partner Program is voluntary and subject to these Terms & Conditions, the YapPay Partner Program Agreement, applicable YapPay policies, and all applicable laws and regulations.
Partners must be at least eighteen (18) years of age and provide accurate, complete, and current information during enrollment and throughout participation in the Program.
All applicants are subject to approval by YapPay. YapPay reserves the right to approve or decline any application at its discretion.
Partners must comply with all applicable advertising, marketing, privacy, consumer protection, telecommunications, financial services, disclosure, and other legal requirements.
Partners agree to follow YapPay branding standards, marketing guidelines, compliance requirements, and approved promotional practices.
The Partner's primary role is to identify prospective businesses and introduce them to YapPay.
Partners may refer businesses for:
Payment processing and merchant services.
Business banking services available through YapPay's banking program relationships.
Crypto payment processing and related digital asset payment solutions.
POS systems, software integrations, gateways, and embedded payment solutions.
Other services approved by YapPay for Partner referrals.
Partners are independent referral partners and are not employees, processors, underwriters, acquiring banks, sponsor banks, financial institutions, money transmitters, custodians, or representatives authorized to bind YapPay or any third-party provider.
Partners may not bind YapPay or any YapPay provider to pricing, approval, underwriting, funding, banking, crypto, settlement, compliance, or other commitments.
YapPay and its applicable providers retain responsibility for pricing, applications, underwriting, compliance, approvals, onboarding, implementation, account servicing, and merchant support as applicable to each service.
A merchant must be properly attributed to the Partner through YapPay's approved referral process.
Referral attribution may be established through an assigned referral link, referral code, referral form, CRM record, written introduction, Partner Dashboard, or another method approved by YapPay.
YapPay shall make the final determination regarding referral attribution based upon its records, communications, timestamps, submitted documentation, CRM history, and circumstances surrounding the referral.
Partners may not submit false, fabricated, duplicate, fraudulent, or self-generated referrals intended to manipulate referral ownership or Partner compensation.
Once a merchant is properly attributed to a Partner, eligible products and services subsequently activated through that merchant may qualify for Partner compensation while the Partner remains active and in good standing, subject to these Terms.
For each eligible YapPay product or service activated by a merchant properly attributed to the Partner, the Partner may earn:
25% of YapPay Net Revenue generated by that product or service during its first twelve (12) months following activation.
15% of YapPay Net Revenue generated by that product or service beginning in month thirteen (13), for as long as the Partner remains active and in good standing.
After maintaining Active Partner status and remaining in good standing for at least twenty-four (24) consecutive months, the Partner becomes eligible for the 5% Lifetime Revenue Share described in Section 7.
Each eligible product or service has its own twelve (12) month revenue-share period beginning on its individual activation date.
For example, if a referred merchant activates Payment Processing and later adds Business Banking or Crypto Payment Processing, the Partner's 25% revenue-share period for each newly activated service begins separately on the date that particular service is activated.
A merchant may therefore generate Partner compensation from multiple YapPay products simultaneously, with each product following its own applicable revenue-share period.
Eligible services currently include:
Payment Processing: Eligible payment processing revenue actually received and retained by YapPay.
Business Banking: Eligible revenue actually received and retained by YapPay from banking relationships associated with the referred merchant, including eligible revenue attributable to balances, debit activity, or other compensable banking activity.
Crypto Payment Processing: Eligible processing, transaction, markup, or other crypto payment revenue actually received and retained by YapPay from the referred merchant.
Other products or services may become eligible when specifically designated by YapPay.
Revenue share applies only to Net Revenue actually received and retained by YapPay.
To remain an Active Partner, a Partner must refer at least one (1) new merchant that activates an eligible YapPay product or service during each rolling three (3) month period.
An eligible activation may occur through Payment Processing, Business Banking, Crypto Payment Processing, or another service specifically designated by YapPay as eligible.
Partners who fail to satisfy the Active Partner requirement may lose eligibility for the ongoing fifteen percent (15%) revenue-share rate until Active Partner status is restored.
YapPay reserves the right to waive or modify the Active Partner requirement for strategic Partners or under special circumstances.
A temporary loss of Active Partner status does not automatically terminate participation in the Program or previously established merchant attribution. However, compensation during periods of inactivity will be governed by these Terms and any applicable Partner Program Agreement.
A Partner who maintains Active Partner status and remains in good standing for at least twenty-four (24) consecutive months becomes eligible for YapPay's 5% Lifetime Revenue Share.
If an eligible Partner later voluntarily leaves the YapPay Partner Program in good standing, the Partner will continue receiving 5% of YapPay Net Revenue generated by eligible products and services activated through merchants properly attributed to that Partner, for as long as those merchant relationships continue generating eligible Net Revenue for YapPay.
The 5% Lifetime Revenue Share may apply to eligible:
Payment Processing revenue.
Business Banking revenue.
Crypto Payment Processing revenue.
Revenue from other services specifically designated by YapPay as eligible.
The 5% Lifetime Revenue Share applies only to eligible products or services activated before the Partner leaves the Program.
If an attributed merchant activates an additional eligible YapPay product or service after the Partner has left the Program, that newly activated product or service does not qualify for Partner revenue share unless otherwise agreed to by YapPay in writing.
Lifetime Revenue Share eligibility is contingent upon the Partner completing at least twenty-four (24) consecutive months as an Active Partner in good standing and leaving the Program in good standing.
Partners terminated for fraud, intentional misconduct, material misrepresentation, merchant diversion, misuse of confidential information, violations of applicable law, or other material violations may forfeit eligibility for future revenue-share payments as provided in the YapPay Partner Program Agreement.
For purposes of the YapPay Partner Program, "Net Revenue" means revenue actually received and retained by YapPay from an eligible referred merchant after deduction of applicable third-party costs and expenses directly associated with generating that revenue.
Depending upon the applicable product or service, deductions may include processor costs, interchange, card-brand assessments, acquiring or sponsor bank costs, banking provider costs, crypto provider costs, network fees, provider revenue shares, pass-through expenses, credits, refunds, reversals, chargebacks, reserves, assessments, compliance costs, losses, adjustments, and other directly related costs or expenses.
Net Revenue calculations may differ by product because YapPay's underlying compensation arrangements differ between Payment Processing, Business Banking, Crypto Payment Processing, and other services.
Revenue share is not calculated from merchant processing volume, gross transaction value, merchant bank balances, crypto transaction volume, interchange, card-brand fees, customer funds, merchant deposits, or any other amount that does not constitute revenue actually received and retained by YapPay.
No Partner compensation is earned on revenue YapPay does not receive or is subsequently required to refund, reverse, credit, offset, return, or repay.
YapPay may adjust future Partner payments to accurately reflect Net Revenue when subsequent provider adjustments, refunds, chargebacks, reserve activity, losses, corrections, or other events affect the underlying revenue.
Partner revenue-share payments are generally issued monthly via ACH between the twenty-fifth (25th) day and the final calendar day of the month following the applicable revenue period.
For example, eligible revenue share generated from Net Revenue received by YapPay during January would generally be paid between February 25 and the final calendar day of February.
A current and completed IRS Form W-9 and valid payment information must be on file before Partner payments are issued.
Payments may be delayed while tax documentation, payout information, referral attribution, merchant status, provider reporting, revenue calculations, compliance reviews, or other administrative matters are verified.
Because YapPay receives reporting and compensation from multiple providers, revenue associated with different products may be reported or paid to YapPay on different schedules.
Partner compensation is payable only after the applicable revenue has been received, reconciled, and attributed by YapPay.
Partners participate in the YapPay Partner Program as independent contractors and are solely responsible for applicable federal, state, local, international, or other tax obligations arising from payments received under the Program.
YapPay may issue IRS Form 1099-NEC or other tax documentation as required by applicable law.
Required tax and payment documentation must be completed before Partner compensation is issued.
Partners may use YapPay-approved branding, referral resources, scripts, presentations, websites, digital content, and marketing materials in accordance with YapPay branding guidelines.
Partners may not modify or misrepresent YapPay trademarks, pricing, disclosures, savings claims, revenue opportunities, banking features, crypto services, or approved marketing materials without authorization.
Partners may not represent themselves as YapPay employees, financial institutions, banks, processors, underwriters, acquiring banks, sponsor banks, money transmitters, custodians, crypto exchanges, or representatives of YapPay's underlying providers.
Partners may not guarantee merchant approval, savings, processing rates, banking approval, funding times, crypto settlement, account availability, investment returns, or any other product or financial outcome.
Custom marketing materials using the YapPay name, trademarks, logos, or brand identity require prior written approval.
YapPay is not a bank.
Business banking services made available through YapPay are provided through independent banking and financial technology providers and are subject to their respective eligibility, underwriting, account, compliance, and program requirements.
Partners may not represent YapPay as a bank or represent themselves as bankers, financial institutions, or authorized representatives of YapPay's banking providers.
Partners may only advertise banking features, benefits, rewards, credits, account capabilities, or other banking-related information using current YapPay-approved materials.
YapPay is not a cryptocurrency exchange, investment adviser, broker-dealer, custodian, or financial adviser.
Crypto payment processing and related digital asset services may be provided through independent third-party providers and are subject to applicable provider requirements, jurisdictional restrictions, KYC, KYB, AML, sanctions screening, compliance requirements, and applicable law.
Partners may not provide investment advice, make representations regarding future cryptocurrency values, guarantee settlement or conversion rates, or promote crypto payment services as investments.
Partners may only market crypto payment products and capabilities using current YapPay-approved information.
Partners may not:
Make false, misleading, deceptive, unauthorized, or unsubstantiated statements regarding YapPay or its services.
Use spam, unlawful automated communications, robocalls, deceptive marketing, or promotional methods that violate applicable law.
Impersonate YapPay personnel or representatives of YapPay's processing, banking, crypto, technology, or financial service providers.
Submit false, fabricated, duplicate, fraudulent, or manipulated referrals.
Manipulate referral attribution, ownership, or revenue-share calculations.
Bid on YapPay trademarks or confusingly similar terms in paid search advertising without prior written approval.
Misuse YapPay trademarks, confidential information, merchant information, technology, pricing, documentation, or proprietary resources.
Solicit, redirect, transfer, or divert YapPay merchants or active prospects to competing providers.
Make unauthorized representations concerning YapPay's processors, banks, sponsor banks, banking providers, crypto providers, technology providers, or strategic relationships.
Knowingly misrepresent a merchant's ownership, products, services, processing activity, business model, geography, or risk profile.
Violations may result in suspension or termination and may affect future Partner compensation.
Merchants properly referred through the YapPay Partner Program become customers or referred customers within YapPay's provider ecosystem, as applicable to the service.
YapPay retains authority over Partner attribution, pricing offered through YapPay, provider placement, onboarding coordination, account servicing, and the ongoing commercial relationship, subject to the authority and requirements of applicable third-party providers.
Partners do not acquire ownership, control, property rights, or transferable interests in merchant relationships solely by referring merchants to YapPay.
For purposes of Partner compensation, however, a properly attributed merchant remains associated with the referring Partner in accordance with these Terms and the applicable Partner Program Agreement.
Partners shall protect confidential, proprietary, merchant, pricing, operational, financial, technical, banking, crypto, software, and Program information received from YapPay.
Confidential information includes merchant information, pricing, revenue-share information, provider economics, software and API documentation, banking programs, crypto programs, embedded finance programs, product roadmaps, business strategies, internal procedures, training materials, processor relationships, banking relationships, crypto provider relationships, technology relationships, and trade secrets.
Confidential information may only be used for authorized YapPay Partner Program activities and may not be sold, transferred, disclosed, copied, exploited, or used to solicit merchants for competing products or services.
These obligations survive termination of participation in the Program.
Partner accounts, referral rights, Program access, revenue-share rights, referral links, Partner Dashboard access, and Program benefits may not be sold, assigned, transferred, sublicensed, pledged, or otherwise conveyed without YapPay's prior written approval.
YapPay may modify the Partner Program, compensation structure, eligible products, referral procedures, reporting methods, marketing requirements, payout procedures, eligibility requirements, branding standards, operational processes, and other Program policies.
Changes will not retroactively reduce compensation already earned and payable before the effective date of a modification.
Any vested 5% Lifetime Revenue Share rights shall be governed by the YapPay Partner Program Agreement applicable to the Partner.
Material changes affecting Partner compensation will apply prospectively unless otherwise agreed in writing.
YapPay may suspend or terminate a Partner for fraud, intentional misconduct, material misrepresentation, unauthorized marketing, misuse of YapPay branding or confidential information, merchant diversion, referral manipulation, violations of applicable law, or other material violations of these Terms or the YapPay Partner Program Agreement.
Partners may voluntarily leave the YapPay Partner Program by providing written notice to YapPay.
A Partner who has satisfied the twenty-four (24) month Active Partner requirement and voluntarily leaves in good standing may retain the applicable 5% Lifetime Revenue Share on eligible products and services activated prior to departure.
Partners who leave before satisfying the twenty-four (24) month requirement do not qualify for the 5% Lifetime Revenue Share unless otherwise agreed by YapPay in writing.
Revenue-share rights following suspension or termination for cause are governed by the YapPay Partner Program Agreement.
Partners participate in the YapPay Partner Program as independent contractors.
Participation does not create an employment relationship, legal partnership, joint venture, franchise, fiduciary relationship, agency relationship, or authority to bind YapPay.
Partners are responsible for their own business activities, expenses, taxes, insurance, equipment, marketing practices, and operations.
Nothing in these Terms guarantees any minimum number of referrals, merchant approvals, merchant activations, transaction volume, banking activity, crypto payment activity, revenue, or Partner compensation.
Certain YapPay products and services are provided, processed, facilitated, underwritten, supported, or fulfilled by independent third-party providers.
The availability, approval, continuation, pricing, functionality, geographic availability, settlement, funding, account features, and compliance requirements of those products may be determined in whole or in part by the applicable provider.
YapPay may add, replace, discontinue, or change providers when reasonably necessary to operate or improve its services.
The discontinuation or modification of an underlying provider relationship does not obligate YapPay to continue paying Partner compensation on revenue that YapPay no longer receives.
When reasonably available, YapPay may transition an affected merchant to another provider or eligible YapPay solution, and eligible Net Revenue generated following such transition may continue to qualify for Partner compensation.
To the maximum extent permitted by applicable law, YapPay shall not be liable for indirect, incidental, consequential, special, exemplary, punitive, or speculative damages arising from participation in the Partner Program.
YapPay does not guarantee merchant approval, banking approval, crypto account or transaction approval, merchant activation, processing volume, banking activity, crypto volume, processing duration, Partner earnings, or any minimum amount of Partner compensation.
Provider outages, banking interruptions, blockchain or network conditions, technology failures, merchant closures, underwriting decisions, regulatory actions, jurisdictional restrictions, compliance matters, fraud, chargebacks, reserves, provider changes, or events beyond YapPay's reasonable control may affect services and Partner compensation.
These Terms & Conditions establish the general operating rules for the YapPay Partner Program.
If these Terms conflict with a fully executed YapPay Partner Program Agreement between YapPay and a Partner, the executed Partner Program Agreement controls.
Nothing contained on the YapPay website, in marketing materials, presentations, emails, Partner Dashboard, or other general communications modifies an executed Partner Program Agreement unless the modification is expressly agreed to in writing by YapPay.
These Terms & Conditions are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
Any dispute arising from or relating to the YapPay Partner Program shall be resolved
