YapPay Terms of Use

Welcome to YapPay, a registered DBA of Dubau Ventures, LLC and also a DBA of NorthAB, an Independent Sales Organization (ISO) for EPX Processing. YapPay is operated by Dubau Ventures, LLC ("YapPay," "we," "us," or "our"). These Terms of Use ("Terms") govern your use of all websites, services, and products offered by YapPay and its subsidiaries and affiliates (collectively, the "Services"). By accessing or using our Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use our Services.

1. Eligibility

Our Services are intended for users who are at least 18 years old and reside in the United States or its territories. By using YapPay, you confirm you meet these requirements.

2. Changes to Terms

We may revise these Terms at any time. Updates take effect upon posting. Continued use of our Services means you accept the revised Terms. Please review them regularly.

3. Account Registration & Security

You may need to create an account to access some features. You agree to provide accurate, complete, and current information and to keep your login credentials confidential. You’re responsible for all activity under your account.

We reserve the right to disable any account at our discretion, especially if we believe you've violated these Terms.

4. Intellectual Property

All content, features, and functionality on our Services—including text, graphics, logos, software, and design—are owned by YapPay or its licensors and are protected by copyright and trademark laws. You may not copy, modify, distribute, or publicly display any part of our Services unless explicitly allowed.

5. Acceptable Use

You agree to use the Services only for lawful purposes. You will not:

• Violate any laws or regulations

• Transmit unauthorized advertising or spam

• Impersonate others or misrepresent yourself

• Introduce viruses or interfere with the platform

6. User-Generated Content

If you post content on or through our Services (e.g., reviews, comments, uploads), you grant us a non-exclusive license to use, display, and share that content. You are solely responsible for your content and agree that it will not violate any laws, infringe on rights, or contain harmful or misleading information.

7. Prohibited Business Activities

You may not use YapPay or NorthAB’s processing services for:

• Gambling, illicit drugs, or adult content

• Weapons or firearm-related products

• Fraudulent financial schemes or prohibited business types per card network rules

Violations may result in immediate termination of services.

8. PCI Compliance

All merchants using YapPay’s processing platform via NorthAB and EPX are responsible for maintaining PCI-DSS compliance. YapPay provides guidance but is not responsible for your certification or ongoing compliance. NorthAB oversees compliance as the registered ISO.

9. Disclaimers

Our Services are provided "as is" without warranties of any kind. We do not guarantee uninterrupted service or that content will be error-free or secure.

10. Limitation of Liability

To the fullest extent allowed by law, YapPay and its affiliates, including NorthAB and EPX, are not liable for indirect or consequential damages, including lost profits or data.

11. Indemnification

You agree to indemnify and hold harmless YapPay, NorthAB, and their partners and employees from claims related to your use of the Services, your violation of these Terms, or your misuse of payment processing tools.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming. Legal disputes must be resolved in Wyoming courts unless otherwise required by applicable law or contract.

13. Arbitration

At our discretion, disputes may be resolved through binding arbitration under the American Arbitration Association in Wyoming.

14. Termination

We may suspend or terminate your access at any time for violation of these Terms or misuse of YapPay or NorthAB’s services.
