These Terms govern your access to and use of the YapPay website located at https://yappay.app, affiliated websites, software, merchant portals, payment processing services, business banking solutions, applications, and any other products or services we make available (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the Services.
You must be at least eighteen (18) years of age and legally capable of entering into a binding agreement to use our Services.
By using our Services, you represent and warrant that you satisfy these eligibility requirements.
We may update these Terms at any time.
Changes become effective immediately upon posting unless otherwise stated.
Your continued use of the Services after any revisions are posted constitutes your acceptance of the updated Terms.
Certain Services require registration or account creation.

These Terms govern your access to and use of the YapPay website located at yappay.app, affiliated websites, software, merchant portals, payment processing solutions, access to third-party banking and financial services made available through YapPay, applications, and any other products or services we make available or facilitate access to (collectively, the “Services”).

Not every Service is available to every merchant.
Availability depends on underwriting, risk approval, geographic location, banking partner requirements, card brand rules, and applicable laws and regulations.
YapPay works with registered Independent Sales Organizations, acquiring banks, sponsoring financial institutions, payment gateways, financial technology providers, and other authorized payment and banking partners to make certain Services available to eligible businesses.
Payment processing services are provided through applicable registered Independent Sales Organizations, acquiring banks, sponsoring financial institutions, processors, gateways, and other authorized payment partners. Approval, pricing, funding, settlement, and availability are subject to underwriting, eligibility requirements, applicable agreements, and the policies of the applicable provider.
YapPay provides access to Netevia Banking Services as an Authorized Certified Banking Agent of Netevia. Banking products and services made available through Netevia Banking Services are provided by or through the applicable banking and financial-services providers identified in the governing account agreements and disclosures and are subject to separate eligibility requirements, terms, conditions, and disclosures.
YapPay is not a bank, does not accept deposits, does not itself provide deposit accounts or banking services, and is not itself an FDIC-insured depository institution. Deposit insurance, where applicable, is subject to the terms, conditions, limitations, and disclosures of the applicable banking program and depository institution.
Availability of payment processing, Netevia Banking Services, and other financial products or services is subject to applicable underwriting, compliance review, eligibility requirements, geographic availability, and the policies and terms of the applicable provider.
All content available through our Services, including text, graphics, logos, icons, software, designs, videos, trademarks, service marks, and other materials, is owned by YapPay or its licensors and is protected by applicable intellectual property laws.

Nothing contained within our Services grants any license or right to use our trademarks, branding, or intellectual property without our prior written consent.
You agree to use our Services only for lawful purposes.
You may not:
Violate any applicable law or regulation.
Submit false or misleading information.
Attempt unauthorized access to any system or account.
Introduce malware, viruses, or harmful code.
Interfere with the operation or security of our Services.
Transmit spam or unsolicited communications.
Misrepresent your identity or business.
Use the Services for fraudulent, deceptive, or illegal activities.
Our Services may not be used for businesses or activities prohibited by applicable law, card network rules, sponsoring financial institutions, or underwriting policies.
Examples include:
Illegal drugs
Illegal gambling
Fraudulent investment programs
Money laundering
Counterfeit goods
Human trafficking
Certain firearms businesses
Unauthorized adult content
Businesses prohibited by Visa, Mastercard, Discover, American Express, NACHA, or our financial institution partners
Approval decisions remain subject to underwriting.
Merchants are solely responsible for maintaining compliance with the Payment Card Industry Data Security Standard (PCI DSS) and any other applicable security requirements.
YapPay may provide educational resources or compliance tools but does not certify or guarantee merchant compliance.
If you submit reviews, testimonials, comments, documents, images, or other materials through our Services, you grant YapPay a worldwide, non exclusive, royalty free license to use, reproduce, display, publish, and distribute such content solely for operating, improving, and promoting our Services.
You represent that you have the legal right to submit such content.
Our Services may integrate with third party providers including payment gateways, financial institutions, banking partners, software vendors, CRM platforms, accounting systems, and other business applications.
YapPay is not responsible for the availability, security, accuracy, or content of third party services.
Your use of those services is governed by their respective agreements and privacy policies.
Our Services are provided on an "AS IS" and "AS AVAILABLE" basis.
To the fullest extent permitted by law, YapPay disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non infringement, and uninterrupted availability.
We do not guarantee that the Services will always be available, secure, or error free.
To the fullest extent permitted by law, YapPay, Dubau Ventures, LLC, its affiliates, officers, employees, contractors, licensors, processors, banking partners, and sponsoring financial institutions shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from or related to your use of the Services.
Our maximum liability for any claim shall not exceed the amount paid directly to YapPay for the specific Service giving rise to the claim during the twelve (12) months immediately preceding the event.
You agree to defend, indemnify, and hold harmless YapPay, Dubau Ventures, LLC, its affiliates, officers, employees, contractors, licensors, processors, banking partners, sponsoring financial institutions, and agents from any claims, liabilities, losses, damages, costs, or expenses, including reasonable attorneys' fees, arising from:
Your use of the Services.
Your violation of these Terms.
Your violation of applicable law.
Your infringement of any third party rights.
These Terms are governed by and interpreted under the laws of the State of Wyoming without regard to conflict of law principles.
Before initiating arbitration or other formal proceedings, you and YapPay agree to make a good-faith effort to resolve any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Services, or your relationship with YapPay.
A party seeking to initiate a dispute should provide the other party with written notice describing the nature of the dispute and the relief requested. The parties will have thirty (30) days from receipt of the notice to attempt to resolve the dispute informally before commencing arbitration, unless applicable law requires otherwise.
Except for matters expressly excluded below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or the relationship between you and YapPay that cannot be resolved informally shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") in accordance with the applicable AAA rules and procedures.
The arbitrator shall have authority to award any remedy or relief that would otherwise be available to the parties individually under applicable law, subject to the limitations contained in these Terms.
Arbitration may be conducted by telephone, videoconference, written submissions, in person, or through another method permitted by the applicable AAA rules or agreed upon by the parties.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND YAPPAY AGREE THAT ANY DISPUTE OR CLAIM SHALL BE BROUGHT AND RESOLVED ONLY ON AN INDIVIDUAL BASIS.
YOU AND YAPPAY WAIVE ANY RIGHT TO BRING, PARTICIPATE IN, OR HAVE A CLAIM RESOLVED AS PART OF A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.
Unless both parties agree otherwise in writing, the arbitrator may not consolidate the claims of more than one person or entity or otherwise preside over any form of class, collective, consolidated, or representative proceeding.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND YAPPAY EACH WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE SUBJECT TO THIS ARBITRATION AGREEMENT.
Nothing in this Section prevents either party from:
Bringing an eligible individual claim in small claims court;
Seeking temporary, preliminary, or other appropriate injunctive or equitable relief from a court of competent jurisdiction to protect intellectual property rights, confidential information, data, systems, security, or prevent unauthorized use or access; or
Pursuing any remedy that applicable law expressly prohibits from being subject to mandatory arbitration.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, except to the extent superseded by applicable federal law.
Unless otherwise required by applicable law or the applicable AAA rules, any in-person arbitration shall take place in Wyoming or at another location mutually agreed upon by the parties.
Payment of filing, administrative, and arbitrator fees shall be governed by the applicable AAA rules and applicable law.
Each party shall otherwise be responsible for its own attorneys' fees and costs unless the arbitrator determines that applicable law, these Terms, or another enforceable agreement authorizes an award of attorneys' fees or costs.
If any portion of this Section 16 is determined to be invalid, illegal, or unenforceable, that portion shall be severed or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect, except where applicable law requires a different result.
We may suspend, restrict, or terminate access to any Service at any time if:
These Terms are violated.
Fraudulent or suspicious activity is detected.
Required by law or our financial institution partners.
Continued access presents security, operational, or regulatory concerns.
Termination does not relieve either party of obligations incurred before termination.

These Terms, together with our Privacy Policy and any other YapPay agreements, disclosures, or terms expressly incorporated by reference, constitute the agreement between you and YapPay regarding your use of the applicable YapPay Services and supersede prior or contemporaneous communications, negotiations, representations, and agreements between you and YapPay concerning those Services.
Certain payment processing, Netevia Banking Services, banking, technology, and other third-party products or services are governed by separate agreements, disclosures, privacy policies, and terms issued by the applicable third-party provider. Those third-party agreements govern your relationship with the applicable provider and are not modified or superseded by these Terms unless expressly stated otherwise.
