Welcome to YapPay. YapPay is a payments technology brand operated by Dubau Ventures, LLC. Throughout these Terms of Use, “YapPay,” “we,” “us,” or “our” refers to YapPay and its affiliated services.

These Terms of Use (“Terms”) govern your access to and use of YapPay’s websites, applications, products, and services (collectively, the “Services”). By accessing or using any part of the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

Our Services are intended for individuals who are at least 18 years old and capable of forming a legally binding contract. By using YapPay, you represent and warrant that you meet these requirements.

2. Changes to Terms

We may revise these Terms from time to time at our discretion. Any updates take effect upon posting. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms regularly.

3. Account Registration & Security

You may be required to create an account to access certain features of the Services. You agree to provide accurate, complete, and current information and to keep your login credentials confidential. You are responsible for all activity that occurs under your account.

We reserve the right to suspend or disable any account at our discretion, including if we believe these Terms have been violated.

4. Intellectual Property

All content, features, and functionality available through the Services, including text, graphics, logos, software, and design elements, are owned by YapPay or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or publicly display any portion of the Services except as expressly permitted.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not violate any applicable laws or regulations, transmit unauthorized advertising or spam, impersonate another person or misrepresent your identity, or introduce viruses, malware, or interfere with the operation of the Services.

6. User-Generated Content

If you submit or post content through the Services, including reviews, comments, or uploads, you grant YapPay a non-exclusive, royalty-free license to use, display, and distribute such content in connection with providing the Services. You are solely responsible for your content and represent that it does not violate any laws or third-party rights.

7. Prohibited Business Activities

You may not use the Services in connection with illegal activities or prohibited business types, including gambling, illegal drugs, adult content, weapons or firearm-related products, fraudulent or deceptive financial schemes, or activities that violate applicable card network rules. Violations may result in immediate suspension or termination of Services.

8. PCI Compliance

Merchants using YapPay’s payment services are solely responsible for maintaining compliance with the Payment Card Industry Data Security Standard (PCI DSS) and any other applicable security requirements. While YapPay may provide guidance or tools, compliance certification and ongoing adherence remain the merchant’s responsibility.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. YapPay does not guarantee uninterrupted service or that the Services will be error-free or secure.

10. Limitation of Liability

To the fullest extent permitted by law, YapPay and its affiliates shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Services.

11. Indemnification

You agree to indemnify and hold harmless YapPay, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, or expenses arising out of your use of the Services, your violation of these Terms, or your violation of applicable law.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles.

13. Arbitration

At YapPay’s discretion, disputes arising out of or relating to these Terms or the Services may be resolved through binding arbitration administered by the American Arbitration Association and conducted in Wyoming.

14. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms or misuse the Services.

Entire Agreement

These Terms, together with the Privacy Policy, Merchant Processing Agreement, and any other agreements or policies expressly incorporated by reference, constitute the entire agreement between you and YapPay regarding your access to and use of the Services and supersede all prior or contemporaneous agreements, communications, and understandings.
