Crypto Merchant Terms

Version 3.1 · Updated October 29, 2026 · Terms apply upon acceptance

1 Agreement and authority

These Crypto Merchant Terms and Conditions govern your application for and use of YapPay Crypto, offered by YapPay (we or us). You and your mean the applying business or merchant. Your merchant account and commercial relationship are with YapPay. The individual accepting these Terms confirms legal capacity and authority to bind that business. Acceptance takes effect when you affirmatively agree during an authorized acceptance process. You may review, print and retain these Terms before acceptance. Separate card processing and banking agreements are unaffected.

These Crypto Terms supplement and incorporate the YapPay General Terms, including the identification of YapPay in those terms. By accepting these Crypto Terms, you also agree to the YapPay General Terms. For YapPay Crypto, these Crypto Terms govern any conflict with the General Terms. You may review both documents before acceptance.

2 YapPay services and service partners

YapPay provides merchant onboarding, account administration and access to supported crypto payment services. YapPay administers its merchant business and identity verification, anti-money-laundering and counter-terrorist-financing controls, sanctions screening, transaction monitoring and compliance reviews. Your merchant account and commercial relationship under these Terms are with YapPay.

YapPay uses technology and service partners to support verification, screening, blockchain analytics, payment acceptance, conversion, wallet functions and settlement. You authorize YapPay to engage these partners for the services you request. YapPay remains responsible for its own obligations and compliance decisions. Partners retain responsibility for their own services and may apply independent legal, security, technical or transaction restrictions. YapPay cannot override restrictions imposed by applicable law or an underlying service partner.

Follow the lawful service restrictions, security rules and operational requirements that YapPay communicates for your approved account. Material additional obligations require appropriate notice and acceptance where applicable. These Terms do not incorporate an unnamed processing provider’s terms or privacy policy, and accepting these Terms does not constitute acceptance of a separate provider contract. If you elect an additional service requiring a separate agreement, that agreement will be clearly identified and presented for acceptance before the additional service is enabled.

3 Merchant approval and account administration

YapPay decides whether to approve, activate, continue, limit or close your merchant account under its compliance and risk procedures and these Terms. YapPay administers verification requirements, processing limits, support, pricing and settlement instructions. Verification tools, screening results and automated alerts support YapPay’s process; a successful technical check alone is not approval to process or a guarantee that a transaction is lawful. Approval and continued service remain subject to applicable law and the availability of the required underlying services.

YapPay administers amounts due to you and payout arrangements under these Terms and your accepted pricing and settlement schedule. Authorized processing or banking partners may execute transfers on YapPay’s behalf. Use of a partner does not remove YapPay’s own obligations to account for and pay merchant amounts properly due.

4 KYB KYC and ongoing due diligence

YapPay conducts know-your-business (KYB), know-your-customer (KYC) and ongoing due-diligence reviews, using authorized verification tools and service providers where appropriate. Provide accurate and complete information about your business, registration, licenses, owners, controlling persons, authorized representatives, activities, expected volumes, source of funds, source of wealth where relevant, and settlement destinations. Supply requested documents and cooperate with ongoing review. Notify YapPay promptly of material changes and keep account information current.

You authorize lawful verification and screening using information you provide and appropriate independent sources, as described in the privacy notices. Obtain required authority and provide notices before submitting other people’s information. Individuals may need to complete their own identity verification and any required consent. YapPay maintains verification records and may notify service partners of approval or verification status. Documents or additional evidence may be requested or lawfully disclosed when necessary for a review, investigation, provider obligation or legal requirement. Applying, accepting terms or passing a verification check does not guarantee activation.

Maintain accurate transaction, invoice, fulfillment, refund and customer-dispute records sufficient to support your use of the service. Retain them for periods required by applicable law or expressly specified in your accepted account schedule, and preserve relevant records while a lawful investigation or dispute remains unresolved. On a reasonable request, provide relevant records to YapPay within the stated reasonable deadline so we can review a transaction, resolve an error or dispute, or meet an applicable legal or service requirement. Provide information securely, limit it to what is necessary, and comply with applicable privacy duties. This obligation does not require you to retain private keys, recovery phrases or unnecessary sensitive information.

Reviews may occur during application, before activation and during the account relationship. YapPay may require enhanced due diligence, refreshed identity or ownership information, an explanation of activity, evidence of wallet or account control, or supporting transaction documents. Cooperate with reasonable requests and provide accurate information within the stated reasonable deadline. Failure to do so may delay approval or lead to proportionate restrictions under these Terms. Do not submit another person’s information without lawful authority and the required notices.

5 Permitted use and merchant responsibilities

Use the service only for genuine, lawful and approved business transactions. Do not misrepresent your business, conceal ownership or source of funds, evade sanctions or monitoring, provide unauthorized account access, or process payments for an undisclosed business. The service restrictions, geographic eligibility and approved limits communicated by YapPay apply. You remain responsible for your licenses, customer terms, lawful disclosures, products, fulfillment, taxes and customer disputes. Crypto payment finality does not remove your refund, consumer-protection or other legal obligations. Do not represent that YapPay approval authorizes an activity that otherwise requires a license.

6 Payment instructions balances and settlement

You authorize YapPay to arrange the acceptance, conversion, allocation and payout of supported payments through approved providers according to your instructions, approved account settings and accepted settlement schedule. You authorize deduction of disclosed fees, authorized refunds and lawful adjustments. Your statement will distinguish transaction value, deductions and the net amount payable.
A payment confirmation, displayed balance, available balance and completed payout represent different stages. Payouts depend on actual fund availability, review, banking or blockchain processing and the approved settlement method. YapPay will administer payouts according to the applicable schedule; a general estimate is not a guarantee of a particular receipt time. You remain entitled to net amounts properly due, subject to disclosed deductions, lawful holds and valid adjustments.

Verify the asset, network, address, beneficiary, amount and any memo or tag before approving instructions. Errors and unsupported transfers can cause permanent loss. Use only approved settlement destinations you lawfully control or are specifically authorized to use. Crypto, stablecoin and fiat payout methods are available only where approved. A change of payout instructions may require reverification.

Exchange quotes apply only for the validity period and conditions shown in the payment instructions. Sending funds after expiry does not guarantee the original exchange rate or automatic completion of the purchase. A payment sent late, for an incorrect amount, or on an unsupported asset or network may require review, a supported return, a new quote or your acceptance of a different amount. Any enabled automatic acceptance must follow the account settings and thresholds you have approved. You remain responsible for resolving any difference against the customer’s purchase price.

An overpayment does not automatically increase the amount owed for the purchase or become additional merchant revenue. Excess amounts must be resolved through the supported process and applicable law. An underpayment does not fully discharge the purchase price unless you agree to accept it or it falls within an approved acceptance threshold. Review the authenticated payment status and accepted amount before fulfillment. A cancelled, blocked or pending payment is not a completed payment; follow the applicable review or return instructions. Cancelling a payment request does not reverse a blockchain transfer already sent.

7 Pricing refunds and adjustments

Your accepted pricing schedule sets the total merchant processing fee, any separate service charges, payout and conversion charges, the applicable currencies and who bears network fees. YapPay may deduct disclosed fees before payout. Any reserve, security requirement or right of setoff must be expressly established in your accepted schedule or a separate agreement, or otherwise permitted by law.

Payment-error returns and customer reimbursements are different processes. Where original crypto funds remain available and eligible for return, a supported return process may be used. Once funds have been converted or settled, the original transaction generally cannot be reversed through that process. A customer reimbursement may instead require a separately funded payout, a new conversion or another lawful refund method agreed with the customer. Availability depends on the enabled service, available balance and any required review.

You authorize a reimbursement only through a supported workflow and must provide or authorize the funds needed for it. Confirm the recipient, asset, network, amount and any required reference before approval. Any conversion rate, network cost or other applicable fee will follow the disclosed terms for that payout. The asset amount or exchange value may differ from the original payment. Explain the proposed refund method and any legally permitted deductions to the customer before proceeding. You remain responsible for valid customer refund obligations; payment finality or an unavailable technical return function does not remove those obligations. Do not issue a duplicate reimbursement while a supported return is pending without first reconciling its status. YapPay may correct documented errors and explain adjustments; contact [email protected] promptly if a statement is incorrect. Do not arrange payments to third parties through this service without express approval.

8 Integration security and shopper notices

Use supported assets, networks and approved integration methods. Protect credentials and restrict access to authorized users. Report suspected compromise or incorrect processing promptly to [email protected]. Confirm payment status using authenticated server-side checks before fulfillment; a browser redirect, screenshot or unverified callback is insufficient. Do not interfere with service security or attempt unauthorized access.

Display the customer terms, privacy information, risk warnings and checkout disclosures supplied or required by YapPay for the enabled service. Where YapPay supplies mandatory wording or an acknowledgment requirement for your integration, display that wording without unauthorized alteration and obtain the required acknowledgment before payment. YapPay will identify the applicable requirements for the enabled service. Acceptance of these merchant Terms is separate from a shopper’s checkout acknowledgment.

Where your checkout or integration collects customer information or supplies it to YapPay, provide the notices required for that collection and sharing, including access to applicable YapPay privacy information before collection where required. Supply only information necessary for the requested payment or lawful review. Your business-signatory acceptance does not replace a customer’s or beneficial owner’s required individual notice or consent.

9 AML sanctions and transaction monitoring

YapPay monitors transactions processed through YapPay Crypto as part of its anti-money-laundering, counter-terrorist-financing, sanctions and fraud controls. Monitoring may consider payment amounts and frequency, cumulative activity, geography, wallet addresses and blockchain exposure, source and destination information, ownership, expected business activity and other relevant risk indicators. Reviews may occur before processing, at settlement or payout, and after a transaction. Monitoring and screening support risk management; they do not guarantee detection or prevention of every unlawful or fraudulent activity.

YapPay may use automated rules, risk scores and alerts together with compliance review. An alert or potential list match is a risk indicator and does not by itself establish wrongdoing. YapPay may seek an explanation or supporting records and may apply proportionate limits, additional verification, a temporary review hold or a restriction where reasonably necessary for an identified risk, suspected breach or applicable legal requirement. Payments, conversions, returns, withdrawals and payouts may be delayed, declined or restricted while review or a lawful hold remains in effect. These controls do not create a separate reserve or unrestricted right to retain merchant funds.

Do not split transactions, conceal counterparties, route funds through undisclosed businesses or wallets, or otherwise attempt to evade screening, account limits or monitoring. YapPay may disclose relevant information and make reports where required or permitted by applicable law. We may be unable to disclose certain review methods, the existence or contents of legally protected reports, or other information where disclosure is prohibited or would compromise a lawful investigation.

Processing and banking partners may independently apply controls affecting the underlying service. YapPay will communicate material service issues and information reasonably available about restrictions where legally permitted and practicable. You may request review of a compliance-related account restriction at [email protected]; this does not require YapPay or a partner to override a lawful hold or disclose protected information. Maintenance, outages and network conditions may also affect availability.

Send compliance questions or concerns, suspected money laundering, sanctions concerns, suspicious transaction reports from your business, and requests to review a compliance-related restriction to [email protected]. This contact is for raising concerns with YapPay and does not replace any report your business is independently required to make to an authority. Include only the information necessary to describe the concern; request a secure channel before sending identity documents or other sensitive evidence. Never send passwords, private keys or wallet recovery phrases.

10 Suspension and closure

YapPay may suspend or restrict services where reasonably necessary for suspected unlawful activity, security concerns, incomplete verification, a material unresolved compliance concern, material breach or an underlying service restriction. Notice will be provided where practicable and legally permitted. You may request account closure at [email protected], subject to any separately agreed term or notice requirement.
Closure does not extinguish properly due merchant balances or valid obligations. YapPay will arrange resolution of pending payments, lawful holds, adjustments and net amounts due under the applicable settlement terms. Service access may end before all records can lawfully be deleted. Fees already incurred, required retention, confidentiality, dispute provisions and other obligations intended to survive closure continue to apply.

11 Intellectual property and confidentiality

YapPay and its licensors retain rights in their respective branding, software and documentation. You receive a limited right to use supplied materials for the approved integration while authorized to use the service. Do not copy or modify proprietary provider materials beyond an express license or written permission. Each party must reasonably protect the other’s nonpublic business information and use it only for the service relationship, except for authorized service-provider disclosures or disclosures required by law. This does not restrict information already lawfully public or independently obtained without confidentiality restrictions.

Any content license in the YapPay General Terms does not authorize public disclosure or use of identity documents, KYB/KYC submissions, sensitive verification information or compliance case evidence for advertising or public promotion. Those records are handled for the service, verification, security, compliance and lawful purposes described in the applicable privacy notices.

12 Risk and responsibility

Crypto services involve blockchain delays, cyber incidents, asset volatility, stablecoin depegging and loss risks. Do not treat a wallet balance as an insured bank deposit or assume supported assets can always be converted at a particular price. YapPay does not provide investment, tax or legal advice. Except for express written commitments and to the extent permitted by law, services are provided as available without implied warranties. Each party remains responsible for its own conduct. Nothing in these Terms excludes liability that applicable law does not allow to be excluded.

13 Limits on YapPay liability

To the extent permitted by law, neither party is liable under these Terms for indirect or consequential loss. YapPay’s aggregate liability arising from its services is limited to the greater of US $500 or the fees paid to YapPay for those services in the preceding twelve months. These limitations do not reduce YapPay’s obligation to account for and pay merchant funds properly due under the agreed settlement terms. They do not apply to fraud, willful misconduct, gross negligence or liability that cannot lawfully be limited. Rights and remedies that mandatory law provides remain available.

14 Notices changes and disputes

You agree to receive application, verification, account and service notices electronically at your registered contact details. Keep those details current. YapPay will notify you before material changes to these Terms take effect and obtain fresh acceptance where required. Additional agreements for an enabled service apply only as appropriately presented and accepted.

The governing-law and dispute-resolution provisions of the YapPay General Terms apply to these Crypto Terms. This includes the informal dispute-resolution process and binding individual arbitration, class-action waiver and jury-trial waiver, subject to the exceptions and applicable-law limitations described in Section 16 of the General Terms. Review that section before acceptance. If a provision is unenforceable, the remaining provisions continue. These Terms and your separately accepted pricing, settlement and other applicable agreements govern the merchant service relationship with YapPay. They do not amend YapPay’s obligations to its providers or bind a provider to obligations it has not assumed. Contact [email protected] for service notices and support. Contact [email protected] for compliance concerns or compliance-related review requests.

15 Third party claims

To the extent permitted by law, you will reimburse YapPay for reasonable losses and defense costs arising from third-party claims caused by your unlawful business activity, infringement of third-party rights or material breach of these Terms. This obligation does not apply to the extent a claim results from YapPay’s own breach, negligence or wrongful conduct. YapPay will provide reasonably prompt notice and an opportunity to participate in the defense. Any settlement imposing an admission or nonmonetary obligation on you requires your consent, not to be unreasonably withheld.
